Abstract :
[en] The goal of this study is to answer the following research question: “Is participative management a determining factor in the success of the process of "mergers and acquisitions", particularly in the specific context of study which is that of a socially oriented SMEs? ". It will indeed matter to verify whether the participatory management can be described as such, and that through a study of the literature and a case study in a particular context - that of an Adapted Work Enterprise (ETA): the Ateliers Jean Del'Cour. It recently experienced a merger and acquisition process with another ETA, the ETA Jacqueline Orts. To do so, the case study was conducted in two parts. One of these, the qualitative part, was made with the "top" and "middle" management of the company, while the second, more quantitative, was conducted among workers from one of the absorbed sites which was most affected by this merger and acquisition process. It has been probing the question of indicators (welfare, engagement, recognition, values, participation and communication, essentially) to establish a positive link between participation and merger and acquisition. It was then discovered that such a link exists clearly and that participative management is indeed one of the determining factors in the success of a merger and acquisition process. But the discoveries of this study go further. It was highlighted that communication is the essential element of participatory management, as well as a tool than as a backdrop behind the implementation of other tools and participatory means. The communication must be implemented as soon as possible during the merger and acquisition process, it must be adapted and must be as formal as informal (informal side being very important). This is also valid for the other tools and participatory means. These findings are a real contribution for the managerial level in the specific context studied but also for all merger and acquisition processes, and an invitation to pursue more specific researches on this issue in order to provide accurate and specific answers to problems encountered by companies who experience this major change.
[fr] Le présent ouvrage traite la question de recherche suivante : « Le management participatif constitue-t-il ou non un élément déterminant dans la réussite du processus de “fusion et acquisition”, en particulier au sein du contexte spécifique d’étude qu’est celui d’une PME à orientation sociale ? ». Il sera en effet question de vérifier si le management participatif peut être qualifié comme tel, et ce au travers d’une étude de la littérature scientifique et d’une étude de cas dans un contexte particulier qui est celui d’une Entreprise de Travail Adapté (ETA) - les Ateliers Jean Del’Cour - laquelle a récemment vécu un processus de fusion et acquisition avec une autre ETA, l’ETA Jacqueline Orts. Pour ce faire, l’étude de cas a été réalisée en deux parties. L’une de celles-ci, la partie qualitative, a été menée auprès du « top » et du « middle » management de l’entreprise, alors que la seconde, la partie de type plus quantitative, a été réalisée auprès des travailleurs (ouvriers) d’un des sites absorbés les plus touchés par ce processus de fusion et acquisition. Il aura été question de sonder les indicateurs (bien-être, engagement, reconnaissance, valeurs, participation et communication, pour l’essentiel) permettant d’établir un lien positif entre participation et fusion et acquisition. Il a alors été découvert qu’un tel lien existait manifestement et que le management participatif est en effet l’un des éléments déterminants de la réussite du processus de fusion et acquisition. Mais les découvertes de ce mémoire vont plus loin. Il a été mis en évidence que la communication est l’élément essentiel du management participatif, tant en tant qu’outil qu’en tant que toile de fond sous-tendant la mise en œuvre des autres outils et moyens participatifs. Celle-ci doit être mise en œuvre le plus tôt possible durant le processus de fusion et acquisition, elle doit être adaptée et équilibrée, entre formel et informel (le côté informel étant très important). Ceci vaut aussi pour les autres outils et moyens participatifs. Ces conclusions constituent un réel apport sur le plan managérial dans le contexte spécifique étudié ainsi que pour l’ensemble des processus de fusion et acquisition, et une invitation à poursuivre des recherches plus spécifiques sur la question afin d’apporter des réponses précises et spécifiques aux problématiques rencontrées par les sociétés qui vivent ce changement majeur.
